Response to Guidelines on exclusionary abuses of dominance

Our main comment is that legal tests that are too broad or vague should be avoided as these may lead to uncertainty. As we explain in our paper, this may be the case of (i) the new standard for market foreclosure, defined as conduct which adversely impacts an effective competitive structure instead of impacting competitors, (ii) the relaxation of the general principle that only the exclusion of competitors as efficient as the dominant undertaking amounts to an abuse, and (iii) the replacement of the likelihood test by the vague threshold potential effects in relation to exclusionary effects of the conduct. We would encourage the Commission to clarify in the Guidelines that the as efficient competitor test may also be relevant for the assessment of non-pricing practices and to set the assessment of the counterfactual as the way to establish a link between the dominant undertakings conduct and the exclusionary effects. Finally, we regret that the Commission does not address the treatment of exploitative abuses. Similar to exclusionary conducts, we would see value in the Commission providing some guidelines on exploitative abuses in particular in terms of legal certainty and consistency across the EU.
