Response to Regulations specifying criteria and fees for the critical ICT third-party service providers in the financial sector

Google Cloud welcomes the opportunity to provide views for consideration by the European Commission (EC) on the draft delegated acts under DORA mandate. We firmly believe that DORA will be crucial to the acceleration of digital innovation in the European financial services sector. It creates a solid framework to enhance understanding, transparency, and trust among ICT providers, financial entities, and financial regulators. The designation of ICT third-party service providers as critical rests at the heart of the incoming DORA oversight framework. Hence, we welcome the ECs sensible approach, advancing the ESA guidance delivered in the Joint Report on 29 September 2023. We would like to offer the comments in our position paper (attached) to further strengthen the principle of proportionality in the delegated acts and to constructively support additional legal clarity and certainty. To that end, you will find concrete amendments to support the EC's consideration. The following paragraphs shall highlight a number of key issues in our paper. For the delegated act on criticality designation criteria: We welcome the Commissions approach to a sequenced application of indicators with focus on ICT services that support critical or important functions. This approach is consistent with DORA Level 1 and will focus designation and resources on ICT services that are relevant to financial stability. We believe that targeted amendments can help to advance clarity for the assessment approach (Article 1). We support a requirement for the ESAs to provide an explanation - in reasonable detail - to ICT third party service providers how they reached their designation decision when notifying them of the outcome. Amendments to Step 2 Sub-criteria 1.3 and 2.3 can help to better focus them to financial entities identified in the designation's Step 1 (i.e. financial entities using the ICT service to support critical or important functions). As currently drafted, the indicators in Sub-criterion 1.3 and Sub-criterion 2.3 are broader than their corresponding Step 1 indicators. We call on the Commission to clarify under Article 6 (Information sources to enable criticality assessment) that the ESAs (i) may only use data from reliable sources to perform their criticality assessment, and (ii) must reference their sources. For the delegated act on oversight fees: We welcome the ECs proposal to limit the scope for fees, applying a reference to the list of ICT services in the ITS on the register of information (Article 1 (1)). Assuming the list of ICT services in the ITS is aligned with DORAs focus on the resilience of the financial sector, it would be appropriate to scope turnover to revenue generated by the CTPP in providing services on that list. We appreciate the ECs intention to avoid basing the calculation of the fees on the global turnover of the CTPP as per Art. 2 (1). The draft delegated act proposes the application of only a phased broadening of the in-scope turnover as a fall-back under Art. 2 (3). However, there should be more flexibility in the fallback options where the figures that the CTPP can provide entirely include the in-scope turnover in the earlier option. Due to its business sensitive nature, audited financial data provided by the critical third-party service provider to the Lead Overseer must be treated as confidential data and for this reason it should not to be disclosed to any third parties. We propose a respective clarification under Article 6.

Response to Cyber Solidarity Act

Google welcomes the ambition and significant investment the European Commission intends to make towards enhancing the EUs security operations capabilities under the proposed Cyber Solidarity Act. The imperative for the tools and capabilities that the Act will help deliver has never been greater. The war in Ukraine has offered the world a first glimpse of full-scale conflict in cyberspace. Malicious cyber activity has grown more frequent and disruptive, costing European businesses billions of euros each year and fraying public trust in the digital ecosystem. Pandemic-era acceleration of digital transformation of European critical infrastructure and public services has also changed the threat profile of most governments, making them a prominent target of cyber attacks. Of the intrusions investigated by Mandiant in 2022, response efforts for government-related organizations captured 25% of all investigations, compared to 9% in 2021. In this context, we encourage Europe to pursue policy frameworks in the cyber field that: enhance the EUs access to state of art technological advances in cyber defence; maximise the opportunity to collaborate and share intelligence with global leaders in the field; and seek to address critical shortages in the European cybersecurity workforce by deploying automated tools in the short-term whilst working with industry leaders to close skills and capabilities gap in the longer term. The Cyber Solidarity Act offers an opportunity to incorporate many of these priorities under a cohesive and impressively operationally-focused proposal. Response to Measures to further improve the effectiveness of the fight against illegal content online

Google shares European Commission goal of fighting illegal and terrorist content online, and welcomes the opportunity to comment. A balanced approach will help ensure that we are able to tackle this challenge responsibly, effectively, and proportionately. The framework of the E-Commerce Directive (ECD): The ECD has provided a strong and flexible legal framework that has been indispensable to the growth of the European digital economy. Within this framework, we have seen the development of industry codes of conduct, self and co-regulation, and industry best practices, ensuring a stable, well-regulated market. Recognising the importance of this framework and respect for fundamental rights is crucial to ensuring progress in the fight against illegal content. Terrorist content: We share the goal of removing terrorist content as expeditiously as possible. But we do not believe that pushing for a fixed turnaround time is proportionate – or, indeed, effective. Fixed deadlines could easily lead to wrong decisions and overzealous removals, as hosting services feel pressured to resolve cases quickly rather than with due diligence. Realistically, it is technically impossible for most hosting services to meet this goal. And for the vast majority of those who can, such a tight mandate is most likely to mean that there will be no verification at all. This would have chilling effects across society and on societal discourse. Further, we question a recommendation so focused on an hour-long turnaround time, with no evidence provided as to why this specific timeframe has any meaningful impact when considering actual patterns of content sharing. Instead of focusing on arbitrary timeframes, hosting services should act expeditiously to the best of their capabilities. But any timeframe-focussed approach at least should be qualified to make it workable. Hosting providers can only act with such extreme speed where this is technically feasible, and should make sure removal of content does not compromise fundamental rights. Referrals to law enforcement: We are committed to assisting law enforcement and many hosting services already voluntarily refer information to authorities where there are imminent threats to life, within appropriate legal considerations. New obligations to mandate these disclosures to law enforcement are unnecessary, and risk hindering existing voluntary practices. Notice-and-action and liability protections: As additional obligations are placed on hosting service providers to remove content, further guidance on required information for a notice to be valid may be helpful, to prevent inactionable notices, mistakes, and abuse. Such information should include reasonable information to contact the notice author, as is standard practice in many submission procedures used around the world. Identify information is critical to redress and anti-abuse mechanisms, and in some cases, is necessary to determine the legality of the content. Hosting services should be protected from liability when they undertake proactive voluntary measures to identify harmful content. To further encourage this practice, it must be beyond doubt that hosting services do not become liable for any of the information hosted simply because they take voluntary action in good faith, whether of an automated or a non-automated nature. It should also be clear that such actions do not imply that the service provider has knowledge of or control over the information which it transmits or stores. This clarity is crucial to developing the most efficient and innovative ways to tackle illegal content. While further progress is desirable, we are proud of what industry and government have achieved by working together so far. We look forward to further assisting the European Commission with its efforts and investing in this area.
