Response to 28th regime – a single harmonized set of rules for innovative companies throughout the EU

European company law resembles the United States. Several states offer an array of corporate forms for both private and public firms, from for-profit companies to not-for-profit companies, cooperatives, associations and foundations. There is however obstacles in the internal market to free movement of undertakings, especially for small and medium-sized enterprises (SMEs), that prevent a healthy company law competition between the Member States for a competitive business form for all business models, would it be an innovative company, a steward-ownership company, a cooperative or a social enterprise. Member States create unnecessary administrative burdens with complicated processes to formate, structure and operate an enterprise. All Member States do not accept efficient digital formation, and many corporate laws are complicated. We need more pressure to Member States to simplify their corporate law. EU harmonization should be kept in the minimum, and the Company Law Directive should be critically scrutinized, and even its repeal should be considered. Instead of the 28th regime, we should encourage the Member States to compete with the best possible legislation. As in the United States, model laws could be one driver to this as the European Model Company Act (EMCA). A 28th regime corporate form might make more bad than good, if it ignores the lively ecosystem of European business forms, especially cooperatives. On the other hand, specific 28th regime corporate forms for all kind of enterprises might be even worse, with an array of for-profit companies, not-for-profit companies, cooperatives, foundations, social enterprises, name it. What we need is knowledge of the possibilities all Member States can offer to businesses and people, possibility to use them cross-border, and transfer them from a Member State to a Member State. I should use a German steward-ownership company easily to my business in Finland, without any administrative obstacles, including language barriers. This does not mean however, that there could not be local laws for local areas, for instance special economic zones used as sandbox for minimum regulation.
