Response to Revision of the EU competition rules on technology transfer agreements (Guidelines)

HP Inc. is committed to promoting the licensing of standardised technologies on fair, reasonable, and non-discriminatory (FRAND) terms. Our extensive experience as both an owner of Standard Essential Patents (SEPs) and a product innovator and therefore user of SEPs allows us to offer a balanced perspective on this consultation. As both a product innovator and therefore SEP user and SEP holder/owner, HP understands clearly the need for a fair and balanced system. HP Inc. is a global technology leader, operating in more than 170 countries and delivering a wide range of innovative and sustainable devices, services and subscriptions for personal computing, printing, 3D printing, hybrid work, gaming, and more. HP Inc. supports the review of the TTBER. We believe that the TTBER and the Guidelines are outdated and should be updated to reflect current market practices and often anti-competitive behaviours. The current broken system adversely affects competition and consumers in the EU Patent Pools Patent pools, particularly the collective licensing of SEPs, operate largely without competition law scrutiny, which can restrict competition. Since 2014, new patent pools have emerged in market segments such as the Internet of Things (IoT). Concerns include evasion of FRAND obligations, refusal to license, lack of transparency, inadequate essentiality assessments, duplicative royalty rates, incentivising collective litigation, lack of independence, and price setting of pool rates. 121 licensing The TTBER and the Guidelines should be updated to address these practices and set clear guidance to mitigate competition concerns. The current TTBER exempts 121 licensing, and we would like it included. SEP licensing should not be exempted under market-share thresholds due to the essential nature of SEPs, which cover 100% of the market. The Guidelines should contain a specific section dealing with SEP licensing from both patent pools and 1-1 SEP licensing perspectives.

Response to Foreign Subsidies Guidelines

Clarification on Foreign Subsidies for Natural Disasters: Article 4(4) of the FSR states that "foreign subsidy may be considered not to distort the internal market to the extent that it is aimed at making good the damage caused by natural disasters or exceptional occurrences." This provision needs further clarification to provide predictability for companies regarding the analysis of competition disposition in the internal market. The guidelines should clarify the concrete implications and benefit of this provision for companies. Detailed Analysis of Competition Distortion and Balancing Test: The analysis of competition distortion and the balancing test for State Aids is methodically detailed in the communication 2016/C 262/01. For the sake of predictability, it would be beneficial to provide the same level of precision for the analysis of competition distortion and the balancing test concerning foreign subsidies. This would ensure that companies have a clear understanding of the criteria and methodology used in assessing the impact of foreign subsidies on the internal market.
