Response to Designation of a statutory replacement rate for EONIA (Benchmark)

UniCredit broadly approves the decision of the European Commission to designate a statutory fallback rate for all contracts indexed to EONIA and falling under article 23a of the Regulation (EU) 2016/1011 of the European Parliament and of the Council. In fact, considering the high number of contracts involved, we believe it is essential to have a European legislation that rules the transition in the financial markets after the termination of the EONIA, limiting the risk of legal disputes. It is worth mentioning that, even if ISDA has published a Template EONIA Amendment Agreement that can be used to amend legacy transactions or existing collateral agreements so that they embed the fallbacks to €STR plus 8.5 basis points, an EONIA Fallback Protocol for amending existing collateral agreements is still being drafted. Moreover, many contracts don’t fall under the ISDA protocol and therefore establishing a fallback rate for them would only depend on the negotiating power of the counterparties. However, due to the Brexit and the current global situation created by the pandemic, it is not always possible to proceed with renegotiations, as stated in a letter from the Chairman of the EUR Risk Free Rates Working Group to the European Commission . Accordingly, UniCredit believes that a statutory replacement for EONIA is necessary to manage situations in which a renegotiation cannot be finalized. In the same letter, it is noted that the transition is proceeding slowly, as a survey of members of the EUR Risk Free Rates Working Group shows that, on average, they have completed 46% of their EONIA derivatives transition effort. Therefore, given that the discontinuation of EONIA is less than six months away, on January 3 2022, UniCredit stresses the importance of having a statutory replacement of EONIA as soon as possible and no later than the third quarter of 2021.

Response to Designation of a statutory replacement rate for CHF LIBOR (Benchmarks)

UniCredit welcomes and fully supports the Commission’s initiative to designate a statutory replacement for CHF LIBOR that will guarantee continuity of contracts and provide legal certainty with the highest level of consumer protection. UniCredit advocates the publication of the implementing regulation as soon as possible, to safeguard counterparties from the risk of contracts discontinuity and to properly manage the impact of CHF LIBOR cessation. UniCredit greatly appreciates the decision: • to extend the tenors also to 1M, 6M and 12M and not just 3M; • to include all products that do not contain suitable fall-back provisions and not only on contracts with consumers and SMEs; • to consider all the contracts settled even after 1 January 2018. Moreover, the explicit designation of the value of the spread adjustment for each tenor rules out interpretative issues, which could have given rise to unintended legal risks which would undermine the purpose of the statutory replacement. Our general support to the initiative doesn’t come without some concerns which, if alleviated, could considerably improve the effectiveness of the statutory replacement and its application on wider range of products compared.
