Response to Digital Services Act package: ex ante regulatory instrument of very large online platforms acting as gatekeepers

We firmly support the DMA. Digital platforms have grown rapidly over the past decade. Time is of the essence to assess their ability to set the rules of the market, and to set fair conditions across the economy. We welcome the proposal, not just because we share the objectives it pursues, but also because we believe it follows a practical approach that can make it successful. Namely, it: •sets quantitative thresholds that act as a presumption and reduce uncertainty •provides the authorities with the opportunity to analyse in more detail the cases which are not properly captured by the quantitative thresholds •includes a number of obligations tackling conduct that has proven problematic in the past regarding very large platforms •makes room for regulatory dialogue for those obligations that cannot follow a one-size-fits all approach, while ensuring quick implementation for all the rules We believe there are several enhancements that could be introduced in the DMA to make it even more effective. •The DMA should not prevent other platform service providers from scaling up. It needs to safeguard innovation and competition, so the scope and definitions used by the rule should not capture platforms long before they are gatekeepers. The DMA should cover the major platform service providers, without inadvertently capturing any large firm that is taking some early steps on a platform journey. To avoid these unintended consequences, the Commission should clarify the definitions of the text that are key to implement the proposal: together with the definitions of ‘Gatekeeper’ and ‘Core platform service’, a new definition of ‘Provider of core platform services’ needs to be included, meaning any entity or entities or part thereof which provide a core platform service. Also, to determine foreseeable gatekeepers it should focus specially on those nascent platforms that are already part of a gatekeeping ecosystem. The delimitation of the concept of “active users” is also very important. •Provisions on access to data and technological infrastructures is the most relevant element and should allow European digital businesses to compete on fair terms and use it to innovate in their respective fields. oAccess to data is needed beyond the data portability provisions of the GDPR. oPlatforms are very diverse, but huge commonalities exist between those that provide similar platform services. Data access obligations should be specified for each category of platform. oData access rights should focus on provided and observed data rather than inferred data. •Enforcement tools are also vital for the DMA to succeed. We believe there are several enhancements that could be introduced in the DMA to make it even more effective: oFocusing on categories of core platform services to find the right approach to implement the rule, by getting the technical detail right Being aware that a one-size-fits all approach does not answer all the concerns, we believe that a case-by-case approach would not solve the issues either. We recommend to focus at the similarities within each category of core platform service, which allow to find a common solution for important elements as the definition of user, the implementation of data sharing, the determination of FRAND terms, etc. oExpanding the use of article 5 to facilitate swift and effective enforcement oThe provisions related to data access and portability, and interoperability with infrastructure contained in article 6 should be also reflected in article 5 with additional details based on categories of platform services, in order to make them self-executable A clear enforcement process to give regulators a toolbox, including: •Compliance plan: require gatekeepers to explain how they will comply with the obligations at the time of their determination. •Arbitration mechanism: giving a voice to third party firms regarding the gatekeepers’ obligations •Clear timelines: to avoid delays in its effective application.

Response to Sovereign bond-back securities product regulation

Santander has always support the European Banking Union. Since the financial crisis, important steps have been achieved and risk reduction measures are being implemented. This has already helped reducing financial fragmentation and the sovereign-bank link. However, some important risk sharing measures are still to be implemented. The EDIS is the missing piece to complete the Banking Union. o In order to attain a fully integrated EU financial market, EDIS is essential. o National deposit insurance is a key direct sovereign-bank linkage still remaining. As long as DGSs remain purely national the vicious circle is not completely broken and Member States and financial institutions will continue to be exposed to financial instability. Depositors and national authorities clearly understand that although supervision is European, national treasuries remain the backstop for national deposit insurance schemes. The sovereign debt debate should take place in parallel as the EDIS debate. In addition, we welcome the EC’s proposal for the creation of a European Monetary Fund. A credible common public backstop is necessary to reliably finance a payout event, also in the unlikely event that the available ex ante funds in the Deposit Insurance Scheme are insufficient and the outstanding amount cannot be covered by ex post contributions from the banks in a timely manner. The creation of SBBSs could help to advance the Banking Union and deepen and strengthen EMU. We therefore support the EC initiative to develop SBBSs. However, it is important to ensure that: o The EC legislative proposal should encompass the holistic treatment of the SBBSs covering not only the prudential treatment but also their eligibility criteria to be accepted as a collateral by the ECB, liquidity ratios, and the tax regime of these new financial instruments. o This initiative should address the need to develop a liquid asset that may as an alternative to sovereign debt portfolios. As already acknowledges by the EC, it is necessary that the legislative proposal ensures that regulation (prudential, tax, eligibility for collateral and liquidity ratios…) sets out the same treatment for SBBS and sovereign bonds, otherwise, an unequal treatment could hinder the issuance of SBBSs and investor will prefer to invest in sovereign bonds directly. o This solution should incentivize the diversification of exposures to avoid excessive concentration of banks debt holdings in the domestic sovereign, but not incentivize fragmentation among jurisdictions, which was already under correction thanks to the banking union. In this sense, the composition of the underlying portfolio should be the central government bonds of each euro-area Member States in a known and predetermined proportion. o There should be an appointment of a central EU body (preferably public) to be responsible for verification of the compliance of the (privately-produced) securitization of euro area national government bonds with the SBBSs criteria, including the control and ongoing monitoring of SBBSs, etc. o The EU initiative should be introduced gradually and should establish the same prudential treatment agreed at internationally in order to avoid potential inconsistencies between EU regulation and international standards and to ensure a level playing field across jurisdictions. In this sense, international coordination on any potential change in the prudential treatment of sovereign risk is crucial to avoid fragmentation and competitive disadvantage in the EU financial markets. We encourage the EC to reconsider its intention to do not conduct any further consultation. Its proposal on SBBSs is an important issue and should be released for consultation as sovereign exposures play a crucial role for banks as well as for sovereign debt markets. We support the EC initiative to conduct an impact assessment on this issue to analyse the unintended consequences that SBBS could have at EU level.
