Response to Sustainable Products Initiative

Die BMW Group hat bereits als erster deutscher Automobilhersteller den 1,5° Grad Pfad des Pariser Klimaabkommens in seiner Unternehmensstrategie fest verankert und sich zur Klimaneutralität bis 2050 bekannt. Im Rahmen ihrer ganzheitlichen Nachhaltigkeitsstrategie beabsichtigt die BMW Group Fahrzeuge mit dem im Wettbewerbsvergleich besten Umweltfußabdruck seinen Kunden anzubieten. Hierzu treibt die BMW Group die Implementierung von Menschenrechten, Sozial- und Umweltstandards in ihrer Wertschöpfungskette weiter voran und setzt die Ziele einer geschlossenen Kreislaufwirtschaftsstrategie konsequent um. Hierzu zählen neben der Berücksichtigung der Kernelemente der Kreislaufwirtschaft bereits beim Produktdesign auch die konsequente Senkung des CO2-Lebenszyklusfußabdrucks der durch die BMW Group gefertigten Fahrzeuge. Durch Elektrifizierung der Antriebssysteme, Dekarbonisierung der Energieerzeugung und der Rohstoffgewinnung sowie durch erhöhten Einsatz von Sekundärrohstoffen soll der CO2-Lebenszyklusfußabdruck bis zum Jahr 2030 je Fahrzeug um 40% im Vergleich zu 2019 gesenkt werden. Einem bedingt durch die zunehmende Elektromobilität gegenläufigen Anstieg des durchschnittlichen CO2-Lebenszyklusfußabdruck um 50% kann dadurch entgegengewirkt werden. In enger Zusammenarbeit mit dem automobilen Lieferantennetzwerk schaffen wir in der Automobilindustrie im Rahmen der Brancheninitiative Catena X die technischen Voraussetzungen auf Basis einer Blockchain-Technologie, um CO2-Emissionen zuverlässig in der gesamten automobilen Wertschöpfungskette verlässlich messen, austauschen und reduzieren zu können. Darüber hinaus wird Catena X durch die Digitalisierung von Nachhaltigkeitskennzahlen die Möglichkeit zur Identifikation und Überwachung von Verletzungen von Menschenrechten und Umweltstandards in der gesamten automobilen Lieferkette schaffen. Die Ergebnisse der digitalen Datenerhebungen sollen in die Erstellung digitaler Nachhaltigkeitsproduktpässe einfließen. BMW Group already started in 2010 by implementing due diligence activities with focus on human rights, environmental and social sustainability standards in the supply chain. By setting up a cross-sectoral harmonized sustainability questionnaire in close cooperation with the Drive Sustainability Initiative in 2014 BMW Group took an important step for conducting risk management in its supply chain. BMW Group is convinced that overall sustainability performance can only be increased by developing suppliers continuously and building strong supplier relationships. Considering the growing complexity of our n-tier supplier network we actively approach our direct suppliers and jointly develop measures to create more traceability and transparency and become more environmental and social sustainable beyond our own business conduct. To achieve our objective of having the most sustainable supplier network in the entire industry our corporate due diligence management is fully integrated along our procurement process taking the UN Guiding Principles, the OECD Due Diligence Guidance for Responsible Business Conduct, the German government’s National Action Plan and the German Supply Chain Due Diligence Law into account. Our BMW Group Code on Human Rights and Working Conditions, our Supplier Sustainability Policy, our International and General Purchasing Terms and Conditions lay down the human right, social and sustainability standards which are core principles of our own business conduct and our business partners to ensure compliance. For conducting risk assessment, we use risk maps from the Responsible Business Alliance (RBA), the standardized questionnaire and further standardized and BMW specific tools customized to our individual supplier network. We use the RBA risk assessment platform as an essential step for due diligence efforts ensuring sustainability in our supplier network. This platform provides a dynamic assessment methodology for a high-quality and country-specific risk analysis for each assessed supplier location. By using the standardized questionnaire more than 3.900 suppliers are linked to our highly automated due diligence process by providing reliable and high-quality sustainability information about their due diligence activities and preventive measures. All provided information are validated by an external provider and some of them are certified. For verification purposes and identified high risk suppliers we conduct onsite audits on the premises of our contracted suppliers on our own or by contracting independent third parties. Identified risks are mitigated by implementation of appropriate preventive measures or remedial actions usually before start of production.   The BMW Group is involved in standardization initiatives such as the GAIA X partner platform and actively drives the expansion of the IMDS database with the goal of obtaining traceability on the occasion related basis to environmental and social standards. By rolling out new technologies and direct purchasing we secure traceability and transparency of critical raw materials with regard to human rights, social and environmental standards. For increasing sustainability in the n-tier supply chain we contract our direct suppliers demanding minimum safeguard standards from their suppliers for 37 critical raw materials we have identified. Based on our technical expertise in supply chain due diligence we absolutely welcome the objective of the European Union setting up a common legal framework for Corporate Sustainability Due Diligence. In addition to a harmonized legal framework, we request to take the following topics as set out in the attached document in the upcoming legislative procedure into consideration.

Response to Instrument to deter and counteract coercive actions by third countries

We understand that the rationale behind the introduction of an anti-coercion instrument (ACI) is to deter third countries from influencing the EU and its member states via economic coercion. We also understand that the use of this instrument is intended as a last resort and that ideally its use would never be necessary. However, we are not convinced that the existence of the instrument alone will be a sufficient deterrent and would expect this instrument, should it become law, to be tested after coming into effect. We are worried that this would start a negative spiral of defensive measures and countermeasures from both parties that would leave European companies like us, that depend on international trade and cooperation, as collateral damage. For our business we rely on a complex global supply chain, which would be vulnerable in such a negative spiral. We depend on third country companies not only for production materials, but also for their support in fulfilling important European policy measures by proving the reduction of our carbon footprint and adequate working conditions. This requires a level of mutual trust that is likely to be damaged by the measures envisioned in the ACI. We are a globally active company with significant capital invested in several jurisdictions. In the current international legal environment, with extraterritorial application of laws by some countries and some form of countermeasures in several countries, full compliance with all laws in all jurisdictions relevant to us is already a balancing act. Introducing the ACI in the EU may well make full compliance impossible in the future. This would leave us with the choice of either not complying with the law in some countries – which is not a realistic option – or of withdrawing from some of these markets, leading to heavy losses in invested capital, profits and ultimately the jobs we provide in the EU and elsewhere. Overall, we would prefer to not have such an instrument. We are confident in the EU’s existing instruments for defending EU policy and do not see the need for an additional one. Updating the EU Blocking Statute to render it more workable and effective is more important to us. This instrument also carries the risk of further weakening the WTO by establishing alternative channels. We think more energy should be devoted to reforming the WTO instead. We do realize, however, that some form of ACI will be created in the EU. Therefore, we would like to propose the attached amendments to the text that would make the instrument more palatable at least.

With “Fit for 55”, the Commission has presented a comprehensive package of 13 pieces of legislation with the objective of reshaping the EU's climate policy on a large scale. BMW Group is convinced that Europe and the European Economy can take a globally leading role in advancing climate change mitigation. As a globally acting company the BMW Group promotes global decarbonization and the implementation of human rights and sustainability standards in the supply chain. BMW Group is committed to the 1.5° pathway of the Paris Climate Agreement, as sustainability is at the heart of our corporate governance strategy. Establishing a carbon border adjustment mechanism can be one core element to fight carbon leakage and to maintain a level playing field for EU businesses in their sustainable and green transformation. We agree that regulatory measures need to contribute to achieve the objectives of the Paris Climate Agreement. In this regard a common mechanism for global pricing of CO2 emissions should be the overall long-term objective. BMW Group supports the overall objective to maintain a global level playing field for EU manufacturing companies on the one hand and to avoid carbon leakage on the other hand in the light of Europe’s joint ambition to reduce greenhouse gas emissions. To maintain these objectives all already existing EU instruments should be evaluated regarding their possible contribution. If the EU concludes that a carbon border adjustment mechanism will be required to contribute to Europe’s ambition to become the world’s first climate-neutral continent by 2050, this mechanism should only bridge the gap until the overall objective of a common mechanism for global pricing of CO2 emissions is achieved. For the external acceptance of an EU carbon border adjustment mechanism, it will be of utmost importance that the mechanism is WTO compatible and contributes to the objectives of the Paris climate agreement. To avoid political misinterpretation and to enable global acceptance for an EU carbon border adjustment mechanism we strongly recommend conducting a reliable and comprehensive impact assessment and to maintain a close dialog with important EU trading partners to convince them of the ecologically sustainable nature of an EU carbon border adjustment mechanism. Any additional trade tensions from introducing a carbon border adjustment mechanism should be avoided under any circumstances to maintain reliable global trade for EU businesses. Regarding the proposal the European Commission has put forward for establishing a carbon border adjustment mechanism (CBAM), the attached recommendations should be considered in the further legislative process.

Response to Revision of the Energy Tax Directive

BMW Group is committed to the 1.5° pathway of the Paris Climate Agreement, as sustainability is at the heart of our corporate governance strategy. The revision of the energy taxation directive is one core element to set the right signals for the sustainable and green transformation in the transport sector. As important enabling instrument the revised directive will support the automotive industry to achieve significant greenhouse gas reduction targets. We therefore welcome the fact that, as part of “Fit for 55”, the European Commission has also put forward a proposal to revise the EU Energy Taxation Directive, which has remained unchanged since October 2003. However, the attached recommendations should be considered in the further legislative process.

Response to Commission Delegated Regulation on taxonomy-alignment of undertakings reporting non-financial information

BMW Group strongly supports the overall objective of the EU Taxonomy Regulation to drive private funding of environmentally sustainable activities. We agree that this is a fundamental instrument to make Europe the world’s first climate-neutral continent by 2050. Just recently, BMW Group has announced highly ambitious targets for CO2 reduction over the whole value chain. BMW Group welcomes the opportunity to respond to the public consultation on the draft Article 8 Delegated Act (DA) of the Taxonomy. We believe that, it is very challenging to implement the disclosure requirements to comply with the Taxonomy Regulation. Please find our comprehensive comments in the uploaded file. A short summary of some of our key concerns can be found below: • The time frame available for non-financial undertakings to implement the disclosure requirements stipulated is far too short. Many provisions from the Regulation and Delegated Act on the first two Environmental Objectives as well as on Disclosure Requirements are still unclear. With the high level of uncertainty on what to report and very little time left for implementation, we would like to again stress the need for a realistic implementation timeline and thus recommend to completely postpone the application of the new reporting requirements by one year, so to 1 January 2023. Non-financial undertakings will not – short term - be able to prepare and report high-quality disclosures as required by the Regulation. • The draft delegated act for Art. 8 goes way beyond the requirements of Art. 8 of the Taxonomy Regulation thereby leading to a considerable volume of reporting requirements due to the high level of granularity. This includes reporting on eligible but non-aligned activities and disclosures on their future objectives and targets for the KPIs and their plans to achieve them. The Commission should strictly follow the requirements as set out in Article 8 of the Taxonomy Regulation. • We would very strongly request the Commission to follow the ESMA advice and require non-financial undertakings to present only one year of comparatives. This requirement should also only start to apply in the second year of full application of all disclosure requirements to avoid the retrospective application of the provisions. • Art. 11 (1) requires non-financial undertakings only to disclose “the share of Taxonomy-eligible and Taxonomy non-eligible economic activities in their total activities. However, the current wording of the Art. 11 (1) remains vague as to what metrics and information need to be reported. It is unclear what is meant by “share of activities” as the delegated act lacks a definition. Depending on the interpretation of “share of activities” the simplification would be very limited, as the distinction between Taxonomy-eligible and Taxonomy non-eligible activities requires sophisticated analyses of our global activities which cannot be completed within the short timeframe given and would be largely based on estimates and assumptions. We therefore believe that these proposals do not go far enough. • Investments into future technologies that have a huge positive impact on climate change mitigation like battery technologies, hydrogen and fuel cell or autonomous driving have longer time horizons than 5/7 years. BMW Group very strongly recommends removing the seven year maximum time limit and use a “comply-or-explain”-approach to take into account the investment peculiarities of different industries. The CapEx plan should not be disclosed. • The definitions for the OpEx KPI remain unclear and will lead to different interpretations in practice and thus lack of comparability unless further guidance is provided.

If therefore adaptations in the supply chain are required, we are convinced to do the necessary to achieve the set objectives. Overall, we welcome the new regulation for batteries and waste batteries as common regulatory framework to perform the digital and green transformation in the European Union. Why — This would reduce administrative burdens and avoid costly, redundant testing for manufacturers.45
Impact — Regulators may lose the ability to track specific vehicle emissions over a long-term period.6

Response to Specifications for the provision of cooperative intelligent transport systems (C-ITS)

As part of the BMW Group’s commitment to EU road safety objectives we have been consecutively rolling out C-ITS safety services (use cases) since 2013. For example, more than 2 million vehicles are currently capable of receiving hazard warnings. The most recent implementation (rescue lane warning, Sept. 2018) already covers more than 175.000 cars in Europe. BMW Group´s well-known strategy is based on cellular technology, so we do not support the approval of the draft Delegated Regulation (DR) on C-ITS in its current form. The draft of the DR ignores and even hinders our C-ITS safety strategy by NOT supporting interoperability at a system level. By not recognizing BMW safety services as being delivered using existing and mature technology, future enhancements of these services are put in jeopardy. In clear contradiction to previous statements and communication of the Commission, the DR is not technology neutral. Instead it supports a different and not yet widely introduced technology, ITS-G5 which has orders of magnitude less penetration compared to BMW vehicle-to-network services. The draft DR calls for interoperability and compatibility of future technologies while neglecting its own incompatibility and lack of interoperability (at radio access level) with existing mass-deployed safety systems. Therefore, on the contrary, any newly introduced C-ITS station based on ITS-G5 (or other technologies) should be interoperable with existing backend-based safety systems. ITS-G5 roll-out will require about 8-10 years. However, cellular short-range technology will outperform ITS-G5 within the next few years assuming a level playing field. However, the draft DR only mentions and allows deployment of ITS-G5 (via the annexes). C-V2X technology should also be mentioned in the annexes. With respect to maturity, C-V2X is on a comparable level with ITS-G5. Starting deployment with a lean and proven security model is key for the success of any ITS system. From an automotive point of view the ISO 21434 is strongly recommended to be referenced by the DR – even when still under development. This would be preferable to the proposed use of Common Criteria for the security certification which is disproportionately complex and therefore unsuitable. It is widely accepted, even by proponents of temporary ITS-G5 solutions, that the future enhanced functionality foreseen for safe and automated driving will be based on 5G-V2X. However, 5G-V2X will be hindered by requirements in this draft of the DR. By using 5G, the data protection requirements under GDPR can be met much more easily by processing data through an IT backend. This allows for data anonymisation. Broadcasting data under ITS-G5 poses data protection risks due to uncontrollable access to the data and data usage for undetermined purposes. The ‘C-ITS-Station’ definition is very broad and therefore prevents OEM’s from defining an appropriate boundary within the vehicle’s electronic architecture. The functions of the C-ITS station can be spread across multiple ECUs (Electronic Control Units). The on-board network topology will likely differ from one OEM to another but in many cases it may not be possible to isolate the C-ITS station’s functions within one ECU for certification purposes. Therefore, identifying ‘the set of hardware and software components required to collect, store, process, receive and transmit secured and trusted messages in order to enable the provision of a C-ITS service’ (Draft DR, Art. 2 (3)) is of such high complexity that first shipment or further security updates in a short time frame will be impossible. As of today there is no ISO 15408 nor ISO 154082 certified Protection Profile available so there is no realistic path to have certified C-ITS stations by the 1st of January 2020. In general, the requirements for interoperability and compatibility are not defined within the draft of the DA (Article 33). BMW requests a technology-neutral definition at the application level.
